Terms of Service
These Terms are a binding agreement between you and WeGrow Finserv for the use of OrderSlip. By creating an account, ticking "I agree" or using the service, you accept these Terms, the Privacy Policy, the Refund Policy and the Risk Disclosure. If you do not agree, please do not use OrderSlip.
1. Who we are
OrderSlip (www.orderslip.in) is owned and operated by WeGrow Finserv, a partnership firm with its office at 814, 8th Floor, Millennium Business Hub, Sarthana Jakatnaka, Varachha Road, Surat - 395006, Gujarat, India (GSTIN 24AAFFW0778C1ZA). In these Terms, "we", "us" and "our" mean WeGrow Finserv. "You" means the person or firm that holds the OrderSlip account, including every team member you give access to.
2. What OrderSlip is, and what it is not
OrderSlip is a software tool that lets you place one order across several demat / trading accounts at once through the official API of each account's stock broker, with each account connected through its own dedicated static IP.
- We are not a stock broker, not a member of any stock exchange and not a depository participant. All orders are executed by the account holder's own SEBI-registered broker under that broker's terms.
- We never hold your or your clients' money or securities. Funds and securities stay in the client's own broker and demat account.
- We do not provide investment advice, research, recommendations, tips, portfolio management or any assurance of returns. Every order is decided and confirmed by you.
- Use of OrderSlip does not create any broker–client, adviser–client or agency relationship between us and your clients.
3. Eligibility and authority
- You must be at least 18 years old and competent to contract under Indian law. If you accept these Terms for a firm, you confirm that you are authorised to bind that firm.
- Client authority. For every demat account ("demat holder") you add, you confirm that you are the account holder or hold the account holder's clear, written and current authorisation to place orders in that account and to store its broker login credentials on OrderSlip. You must produce this authorisation if we, the broker or a regulator asks for it.
- Your own registrations. Placing orders on behalf of other people may require registration or approval under SEBI regulations (for example as a portfolio manager, investment adviser or authorised person) and your broker's permission. Holding the registrations, approvals and client agreements required for your business is solely your responsibility.
- Broker and exchange rules. You must follow your broker's API terms and all applicable SEBI and exchange rules, including rules on API access, static IP registration, order tagging and the approval or registration of automated orders (such as Alert orders) where required.
4. Your account and security
- Sign-up needs a mobile number or email, a password and a one-time password (OTP). Keep your password and authenticator app secure; you are responsible for everything done through your account and your team members' logins.
- Give team members only the role they need. You can remove access at any time from Settings.
- Tell us at once at infoorderslip@gmail.com if you suspect unauthorised access. We may suspend access to protect you while we investigate.
- Broker credentials (password, two-factor details, TOTP secret, API key and secret) are stored encrypted and are used only to log in to the broker for the account they belong to. They cannot be viewed again after saving, including by our staff.
5. Plans, validity and limits
| Plan | Demat holders | Price | Validity |
|---|---|---|---|
| Free | Up to 2 | ₹0 | 30 days from sign-up, once per firm |
| Pro | Up to 50 | As shown on the Pricing page for 1, 3, 6 or 12 months | The period you pay for |
| Enterprise | Above 50 | As agreed in writing | As agreed |
- The plan limit counts demat holders, not team logins.
- Free plan: one free period per firm. We may refuse a second free account linked to the same person, firm, PAN, GSTIN, mobile or email. When the 30 days end, auto-login and order placement stop; your data stays visible in read-only mode until you upgrade to Pro.
- Paid plans start on the date payment succeeds (or the date we activate a manually received payment) and end at the end of the paid period. Plans do not auto-renew; we remind you before expiry. After expiry, order placement stops until you renew.
- Changing plan: when you move to a higher plan or a longer period, the unused value of your current plan is credited against the new plan and the change applies at once.
- Prices are in Indian Rupees and exclude GST, which is charged at the applicable rate (currently 18%). A GST invoice is issued for every payment. Price changes apply only to new purchases and renewals, not to a period already paid for.
6. Static IPs
- Each demat holder needs its own dedicated static IP. Static IPs are billed separately from the subscription, per IP, for the validity you choose.
- Static IPs are bought on your behalf from a third-party proxy provider and are allocated to you automatically right after payment. If the provider cannot allocate them, the system retries for up to 15 minutes and then refunds you in full automatically (see the Refund Policy).
- You must add each IP in that client's API / demat profile with the broker, bind it to one demat holder and run "Test & activate". Using one IP for several unrelated clients is not allowed.
- An IP is licensed to you for its validity period only. It cannot be transferred to another firm. If you don't renew, the IP is released at expiry and may not be available again.
- Static IP availability and performance depend on the provider and on internet networks outside our control.
7. Placing orders
- You confirm every order. Bulk orders, basket orders, exits and square-offs are placed only after you review and confirm them with your authenticator code. Alert orders are placed automatically when the condition you set is met, without a further confirmation.
- Quantities calculated by OrderSlip (fixed, ₹ per account, % of funds or % of holding) use data fetched from the broker that may be delayed or incomplete. You must check the order preview before you confirm.
- We do not guarantee that an order will be accepted, executed, executed at a given price or executed in all selected accounts at the same time. A broker or exchange may reject, modify or delay any order.
- Order status shown in OrderSlip comes from the broker. If a status is "unknown" or differs from the broker, the broker's records prevail. Check the broker's order book before placing a fresh order, to avoid duplicates.
- Any risk-control limits you set in Settings are an aid only and do not replace your own checks.
8. Acceptable use
You agree not to:
- add any account without the account holder's authorisation, or trade in an account against the holder's instructions;
- use OrderSlip for market manipulation, circular or synchronised trading, front-running, insider trading, spoofing or any other practice prohibited under SEBI or exchange rules;
- share your login, resell or sub-license OrderSlip, or let anyone outside your firm use it without our written consent;
- copy, reverse-engineer, scrape, overload or try to bypass the security, rate limits or plan limits of the service;
- upload malware, false information or content that is unlawful.
We may suspend or close an account that breaks these rules, and report it to the broker, the exchange or the authorities where the law requires.
9. Third-party services
OrderSlip depends on services we do not control, including your broker's API, stock exchanges, market-data feeds, the static IP provider, payment gateways, SMS / email / WhatsApp providers and cloud hosting. Their outages, changes, rate limits or policies can affect OrderSlip, and they are governed by their own terms. Brokers marked "coming soon" are not yet available.
10. Fees, payment and taxes
- Fees are payable in advance through the payment gateway (UPI, card, net banking) or by bank transfer for manual activation.
- Coupon discounts apply only on the terms shown with the coupon and cannot be exchanged for cash.
- If a payment is reversed or charged back after activation, we may suspend the plan or static IPs it paid for.
- Refunds are governed only by the Refund Policy.
11. Suspension and termination
- You can stop using OrderSlip at any time and ask us to close your account. Fees already paid are not refunded except as stated in the Refund Policy.
- We may suspend or terminate your account, with notice where practical, if you breach these Terms, fail to pay, if required by law, a regulator, a broker or an exchange, or to protect the security of the service. We may immediately stop order placement where we see a serious risk to you, your clients or the platform.
- After closure, broker credentials are deleted at once. Other data is handled as described in the Privacy Policy.
12. Sales partners
You may have been introduced to OrderSlip by a sales partner. Partners see only your firm name, city, plan and payment amounts (excluding GST). They cannot see your demat holders, credentials, orders, holdings or static IPs, and they cannot act on your behalf. Partner commission is paid by us and does not change your price.
13. Intellectual property
OrderSlip, its software, design, logo and content belong to WeGrow Finserv or its licensors. We give you a limited, non-exclusive, non-transferable right to use the service for your own business during your plan. You keep all rights to your data. If you send us suggestions, we may use them freely.
14. Service availability
We work to keep OrderSlip available during market hours, but the service is provided on an "as is" and "as available" basis. We do not promise uninterrupted or error-free operation. Planned maintenance is scheduled outside market hours where possible and announced in the dashboard.
15. Disclaimer and limitation of liability
To the fullest extent allowed by law:
- We are not liable for trading losses, missed opportunities, slippage, rejected, delayed, duplicate or partially executed orders, or for decisions you make using OrderSlip.
- We are not liable for indirect, incidental, special or consequential losses, or loss of profit, data, goodwill or business.
- Our total liability for any claim relating to OrderSlip is limited to the subscription fees you paid us in the three (3) months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under Indian law, including liability for our fraud.
16. Indemnity
You will compensate WeGrow Finserv, its partners and staff for any claim, penalty, loss or cost (including reasonable legal fees) arising from: orders placed through your account; your clients' claims against you; your lack of authorisation or registration; or your breach of these Terms or of any law, broker rule or exchange rule.
17. Events beyond our control
We are not responsible for failure or delay caused by events beyond our reasonable control, including exchange or broker outages, internet or power failures, failures of the static IP provider, cyber-attacks, government or regulatory action, natural disasters, pandemics or strikes.
18. Governing law and disputes
These Terms are governed by the laws of India. Please contact our Grievance Officer first; most issues are resolved quickly that way. Subject to that, the courts at Surat, Gujarat have exclusive jurisdiction.
19. Changes to these Terms
We may update these Terms from time to time. We will post the new version here with a new "Last updated" date and email account owners about material changes at least 15 days before they take effect. Continuing to use OrderSlip after that date means you accept the updated Terms.
20. Grievance Officer and contact
We acknowledge complaints within 24 hours and aim to resolve them within 15 days.
General: if any part of these Terms is found unenforceable, the rest stays in force. Not enforcing a right is not a waiver of it. You may not transfer your account without our written consent. These Terms, together with the policies they refer to, are the entire agreement between you and us about OrderSlip.
